Key Responsibilities:


Assist in the preparation and execution of mergers and acquisitions (M&A) and financing transactions, including conducting due diligence (reviewing and summarizing key provisions), drafting transaction documents, and coordinating closings.

Support private equity transactions, including fund formations and subscription agreements.
Conduct, analyze, and summarize UCC and other lien searches.
Prepare UCC filings (initial and amendatory).
Manage the formation and registration of business entities, including corporations, LLCs, and partnerships, across the United States.
Prepare and file SEC Form D and ensure compliance with state blue-sky regulations.
Draft board and stockholder resolutions related to transactions, ensuring adherence to corporate formalities.

Possess the ability to work on documents filed with the states and checklists/resolutions on M&A transactions, with experience in preparing documents ancillary to purchase agreements.

The ideal candidate will have experience in due diligence and reviewing documents in a data room for potential issues, along with experience in preparing contract summaries.


Qualifications:
A Bachelor's degree is preferred.

8+ years of experience as a corporate legal assistant, with a focus on M&A, private equity, corporate governance, and entity formation.

Strong understanding of corporate law principles and practices.
Exceptional legal drafting abilities.
Capability to manage multiple projects and deadlines effectively.
Experience in complex M&A transactions and private equity deals.
Excellent organizational, communication, and interpersonal skills.
Attention to detail and a commitment to accuracy.
