The Corporate Legal Affairs Specialist will report to the Team Lead, Corporate Entities, and collaborate with colleagues in a large legal department within a publicly traded, Fortune 100 international energy corporation. This position entails applying specialized legal expertise regarding laws and regulations to ensure Phillips 66 and its subsidiaries fulfill their legal responsibilities in conducting business.

Key Responsibilities:
  • Oversee and manage the lifecycle of Phillips 66 Company and its subsidiaries, including activities such as formation, mergers, name changes, and dissolutions.
  • Maintain and manage all types of corporate records, including minute books and the corporate database system.
  • Execute duties as mandated by statutes to uphold corporate structures, including annual meetings and registered offices.
  • Independently prepare and distribute documentation for boards and committees, including consents, meeting minutes, resolutions, and powers of attorney.
  • Attend subsidiary board meetings and document minutes.
  • Conduct research, draft, and issue secretary's certificates.
  • Interpret bylaws, partnership, and LLC agreement provisions.
  • Prepare board book materials using an electronic board portal application.
  • Provide transactional support for acquisitions, dispositions, financings, and equity and debt offerings.
Required Qualifications:
  • Legally authorized to work in the job posting country.
  • Bachelor's degree.
  • A minimum of 4 years of experience in corporate and subsidiary governance matters.
  • Familiarity with corporate subsidiary systems and databases, such as EnGlobe, hCue, and Blueprint.
  • Technical proficiency in Microsoft Office products.
Preferred Qualifications:
  • Paralegal certification is advantageous.
  • Exhibit excellent judgment, discretion, respect, and integrity.
  • Highly developed interpersonal, written, and verbal communication skills.
  • Ability to adapt to digital technology and evolving work methodologies.
  • Capable of working effectively in a team environment, under pressure, meeting deadlines, and functioning independently without extensive supervision.
  • Ability to manage and prioritize diverse assignments, which may be broad in scope and complexity, involving collaboration with employees across various departments and levels of management.
  • Strong attention to detail.
  • Proactive problem-solving skills and ability to achieve deliverables.
  • Quick learner with the ability to apply company policies, procedures, operations, and industry best practices.
  • Understanding and appreciation for handling highly sensitive and confidential information is essential.
