Overview

We are seeking a highly skilled and experienced attorney to join our Corporate Counseling & Transactions Unit (CC&T) as a Counsel for Technology Transactions. As a member of our team, you will play a critical role in advising on a variety of technology matters, including transactions for technology services, vendor contracts, and intellectual property ownership/licensing.

Responsibilities

The primary focus of this Counsel position will be to advise on legal issues related to technology transactions, including counseling our Enterprise Technology Department and other business areas on vendor contracts addressing issues such as privacy, data security, data licensing, and IP ownership/licensing. You will also be responsible for drafting and negotiating a variety of technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements.

In addition to assisting in contract negotiation, you will serve in a counseling role, advising business areas on allocating business and legal risks associated with vendor relationships. You will work closely with our Enterprise Technology Department and other business areas to ensure that our technology transactions are conducted in a manner that aligns with our company's goals and objectives.

Requirements
  • J.D. from an ABA accredited law school and excellent academic credentials
  • Active license to practice law in at least one state and a member in good standing of the bar
  • Must be able to obtain a limited license in IL if not already appropriately licensed in IL.
  • Attorney with 3-6 years of transactional experience, preferably with experience or acumen in the technology area
  • Commitment to providing quality legal advice, learning agility, and a history of enthusiastic participation in a team environment
  • Experience in drafting and negotiating technology related agreements is preferred
  • Knowledge of legal principles and practices related to the subject matter of the lawyer's area of practice is expected
  • Proactive mindset-the ability to anticipate and respond effectively to clients' needs and actively assist clients by practicing preventative law
  • Applicants are required to be eligible to lawfully work in the U.S. immediately; employer will not sponsor applicants for U.S. work opportunity
Additional Details
  • Other than as authorized by the General Counsel or her designee, employees are not permitted to handle any legal business outside of State Farm except authorized pro bono work.
  • Newly hired employees must cease all outside practice and all suit involvement before joining State Farm.
  • Travel may be required via commercial transportation or driving to job related activities.
  • May work irregular hours due to workload and nature of work.
