Job Summary
Xerox is undergoing a strategic transformation, leveraging the power of our existing platform to reinvigorate our iconic brand, reignite our innovation engine, and optimize our operations. We are seeking a highly motivated and business-savvy in-house attorney to provide legal counsel to our procurement and supply chain operations and US and Canadian sales organizations.

Key Responsibilities
As a Corporate Attorney, you will act as a trusted advisor and business partner to our procurement organization and internal businesses, providing counsel on commercial transactions and agreements. Your responsibilities will include:

• Drafting and negotiating inbound vendor, licensing, OEM, and services agreements
• Negotiating agreements for warehousing and transportation of commodities and consumables
• Providing training and support to the Global Procurement organization
• Resolving disputes related to purchasing, supply chain, and related areas of responsibility

Additional Responsibilities
You will also provide counsel to our Americas Sales Organization, drafting and negotiating customer agreements, vendor and subcontractor agreements, and confidentiality, HIPAA, and data privacy/security agreements. Additionally, you will review and provide counsel on transactional documents for the provision of software, services, and hardware.

Requirements
To be successful in this role, you will need:

• A JD from a law school accredited by the American Bar Association and licensed to practice law in at least one U.S. state
• 8-10 years of in-house legal experience counseling and advising on commercial transactions of a similar nature
• Excellent communication and interpersonal skills, with the ability to engage effectively with all levels of employees and management
• A practical, business-oriented approach to problem-solving, with the ability to provide clear, concise, and commercial advice
• Strong time and work management abilities, with the ability to prioritize initiatives appropriately and execute them to completion independently

Preferred Qualifications
Experience with counseling supply chain operations, SaaS licensing and contracting, and data privacy regulations and agreements is highly desirable.
