This role requires a highly motivated, energetic, and business-savvy in-house attorney to provide legal counsel to both our procurement and supply chain operations and US and Canadian sales organizations. Responsibilities: Commercial business, Global Procurement, Supply Chain Act as a trusted advisor and business partner to the XBS, procurement organization, and internal businesses that require OGC services. Draft and negotiate: Inbound vendor, licensing, OEM, and services agreements. Agreements for warehousing and transportation of commodities and consumables. Agreements necessary to support the xerox.com website. Provide training and support to the Global Procurement organization. Provide counsel to resolve disputes related to purchasing, supply chain, and related areas of responsibility. Americas Sales Organization: Draft and negotiate: Customer agreements (sales and services agreements, lease agreements, outsourcing agreements, managed services agreements, and consulting agreements) for the provision of equipment, software, managed services, and other products. Agreements to obtain products and services from third parties to incorporate into solutions for customers. Vendor and subcontractor agreements. Assist in drafting responses to customer Requests for Proposal ("RFPs"). Confidentiality, HIPAA, and data privacy/security agreements. Review, provide counsel, and negotiate transactional documents for the provision of software, services, and hardware (e.g. "Statements of Work"). General: Provide prompt and responsive counsel on a multitasking basis in a deadline-intensive environment. Proactively establish relationships and work in close collaboration with internal clients and key stakeholders, including senior-level leaders and executives to support and significantly influence the business’ key strategic initiatives. Develop and maintain a strong in-depth knowledge of the products, services business strategies, and objectives of the company. Prepare and deliver training materials to educate and support clients. Initiate process improvement initiatives such as development and maintenance of templates, checklists, and other productivity tools. Provide counsel regarding strategic, marketing, and service issues including counsel to strengthen relationships with customers, vendors, and subcontractors. Assist in the avoidance of and resolution of disputes with customers and vendors. Investigate ethics and other workplace human resources issues. Coordinate policies and strategies of the clients with other operating units to ensure consistency with corporate policies/initiatives and regulatory requirements. Respond to subpoenas and attorney correspondence. Required Qualifications: JD from a law school accredited by the American Bar Association and licensed to practice law in at least one U.S. state. 8-10 years of in-house legal experience counseling and advising on commercial transactions of a similar nature as required by this position. Able to engage effectively with all levels of employees and management. Excellent communication (written and verbal) and interpersonal skills, demonstrated ability to communicate effectively at a senior level. Detail-oriented, responsive, and resourceful with strong follow-through skills. Practical, business-oriented approach to problem-solving and able to effectively counsel internal clients by providing them with clear, concise, and commercial advice, and creative solutions where necessary, in a timely manner. A team player who brings a positive, "can do" attitude to the organization and works collaboratively with clients and other support organizations (Finance, Accounting, Tax, etc.). Strong time and work management abilities, with the ability to prioritize initiatives appropriately and execute them to completion independently.
