Position Summary:

Panna Knows is seeking a Corporate Counsel to serve as a legal advisor across various business units requiring proactive and creative legal support. This role focuses on contract management, assisting diverse functions such as high-impact event management, partner programs, marketing, advisory services, internal compliance, and special projects.

The Corporate Counsel will possess a deep understanding and a proven track record in reviewing, drafting, and managing commercial and corporate contracts. This position requires prompt responses to internal inquiries, summarizing and conveying legal concepts in a manner that is accessible to business professionals while ensuring compliance with company policies and risk management standards.

The successful candidate will provide guidance to business colleagues and cross-functional stakeholders on legal matters, risks, approval processes, and company policies. You will be an integral part of the Legal Department, assisting the General Counsel and other team members with departmental issues, budget management, strategic planning, and technological advancements.

Key Responsibilities:

  • Strong grasp of data commercialization processes, including commercial models, service agreements, and contract frameworks.
  • Draft and negotiate a wide range of commercial agreements to support business units.
  • Collaborate on the ongoing development of commercial contract workflows to establish a scalable, business-oriented approach to negotiations and agreements.
  • Formulate and implement policies, training, and workflows that enable business teams to operate efficiently while addressing critical legal risks.
  • Assist in managing dispute resolution and compliance-related matters.
  • Ensure timely entry and management of all matters handled, adhering to service level agreements.
  • Provide additional support to the General Counsel on various legal matters.

Qualifications:

  • 3-5 years of experience in a corporate legal department.
  • J.D. from an accredited law school.
  • Active member of the NJ State Bar.
  • Experience in negotiating commercial contracts and leading compliance initiatives.
  • Creative, innovative, and customer-focused with strong business acumen.
  • Proficient in Excel and reporting requirements.
