Position Overview

The Legal Counsel will collaborate closely with the Director of Special Projects & Legal Operations, focusing on contract drafting, negotiations, and overseeing corporate governance along with record-keeping responsibilities at a corporate level.

This role spans various sectors within Novel Energy Solutions LLC, including sales, project development, acquisitions, and asset management.

Key Responsibilities:
  • Contract Management: Negotiate, draft, and finalize agreements and contracts on behalf of the organization, ensuring all legal documents for project financing and other necessary contracts are executed efficiently.
  • Document Review: Draft and/or evaluate Purchase and Sale Agreements, Letters of Intent, EPC Contracts, and O&M contracts, enhancing the efficiency of production processes.
  • Due Diligence: Conduct thorough due diligence on project contracts, including power purchase agreements and corporate governance documents.
  • Legal Coordination: Manage and coordinate the work of external legal counsel as required.
  • Team Development: Assist in training and developing members of the legal team under the guidance of the Director of Special Projects & Legal Operations.
  • Risk Management: Identify and mitigate potential legal issues within the organization, developing strategies to avoid litigation and minimize risk.
  • Compliance Oversight: Manage post-closing compliance for contracts and financing facilities.
  • Corporate Governance: Oversee corporate governance matters and coordinate litigation efforts with external counsel.
  • Advisory Role: Provide insights to the Director regarding contract status, legal risks, and liabilities associated with various projects.
  • Interdepartmental Coordination: Facilitate the flow of relevant information across departments to ensure the execution of necessary legal documents.
  • Legal Point of Contact: Serve as the primary contact for all legal matters.
Qualifications:
  • Juris Doctor (JD) degree from an accredited institution.
  • Must be licensed and in good standing, preferably in states where the company operates.
  • Minimum of 3 years of experience in renewable energy project finance, M&A, or energy development.
  • Experience in drafting and negotiating contracts.
  • Proficient in Microsoft Office Suite, particularly SharePoint.
  • Demonstrated experience in leading and developing a legal team.
  • Exceptional verbal and written communication skills.
  • Strong interpersonal skills, capable of managing multiple priorities in a dynamic environment.
Preferred Qualifications:
  • Bar admission in Minnesota, Illinois, or Maine.
  • Familiarity with construction management software.
  • Ability to maintain confidentiality and handle sensitive information.
  • Capacity to work independently while contributing to a team-oriented environment.
  • Experience in a high-productivity setting with rapid changes.
