Job Summary

The Senior Corporate Counsel plays a critical role in protecting AES's legal interests and maintaining its operations within the scope established by law. This position provides hands-on counsel to all levels of staff, presents clear recommendations to top management, and assures legal compliance.

The Senior Corporate Counsel identifies and analyzes legal issues, drafts key documents and policies, and provides expert legal advice on a variety of matters.

Key Responsibilities
  1. Provide expert legal advice on a range of topics, including corporate governance, employment law, and commercial transactions.
  2. Draft, review, and negotiate commercial agreements with vendors, customers, and partners.
  3. Assist with maintaining and enhancing AES's compliance programs, ensuring alignment with applicable laws and regulations.
  4. Identify potential areas of legal exposure and advise on risk mitigation strategies.
  5. Provide legal guidance on employment-related issues, including hiring practices, benefits, employee relations, separations, and workplace policies.
  6. Assist in managing disputes, claims, and litigation.
  7. Support the effective and efficient use, coordination, and management of outside counsel.
  8. Help create, implement, and maintain corporate policies, procedures, and training programs to ensure legal compliance and effective business operations.
Requirements
  • A J.D. degree (or foreign equivalent) and membership in at least one US state bar.
  • 4+ years of legal experience, with 7+ years preferred.
  • Excellent writing skills and ability to communicate complex legal concepts effectively.
  • Preferred experience in one or more of the following areas:
    • Federal government contracting and grants
    • Corporate law and structures
    • Drafting and reviewing contracts and other transactional documents
    • Construction contracting and disputes
    • Labor and employment law
  • A valid driver's license is required.
