Job Title: Corporate Counsel

We are seeking a highly skilled Corporate Counsel to join our team at Stealth Startup. As a key member of our legal department, you will play a critical role in shaping the company's legal strategy and ensuring compliance with regulatory requirements.

Key Responsibilities:
  • Draft and manage various business entity documents, including entity formation, foreign qualifications, and annual reports.
  • Prepare resolutions, consents, and board minutes to ensure corporate governance and regulatory compliance.
  • Conduct contract drafting, negotiation, and review to protect the company's interests.
  • Support the management of active contracts, including real estate leases.
  • Assist with all stages of corporate transactions, including mergers and acquisitions.
  • Anticipate and research legal risks to protect the company.
  • Provide legal guidance to company leadership and communicate with internal and external stakeholders.
  • Support litigation and dispute resolution processes.
  • Utilize legal software, databases, and other tools to support company operations.
Requirements:
  • At least five (5) years of experience as an attorney, with a focus on corporate governance and contract management in an in-house law department or law firm.
  • Law degree from an accredited law school.
  • Admission to the Montana bar.
