Corporate Counsel

We are an infrastructure company seeking corporate counsel to join a highly collaborative workplace.  Our focus is acquiring real estate and developing solar, wind and battery power projects to offer a unique solution to the market that enables a zero-carbon world.   

The ideal candidate is experienced with real estate, contracts, permitting and corporate governance.  Previous experience working for a law firm or corporate legal team required.  Experience in the power and renewables sectors a plus.  Role is available for immediate hire. 

Job Responsibilities:  

• Drafting, filing and managing various business entity documents for corporations and LLCs, including entity formation, entity foreign qualifications, obtaining EINs and annual reports 

• Prepare resolutions, consents, board minutes and other corporate governance documents 

• Ensure compliance with corporate governance and regulatory requirements 

• Contract drafting, negotiation and review 

• Support management of active contracts, including real estate leases 

• Assist with all stages of corporate transactions, including mergers and acquisitions 

• Anticipate and research legal risks to protect the company  

• Provide legal guidance to company leadership  

• Communicate with internal and external stakeholders (e.g., board of directors and auditors) 

• Provide support in litigation and dispute resolution processes 

• Uses legal software, databases and other software to support company operations

Qualifications and Skills:  

• Corporate governance and board reporting experience required 

• Legal data rooms experience required 

• Contract database experience required 

• NetSuite, Diligent, and SharePoint systems experience a plus 

• Ability to interact and work directly with internal executive team a plus 

• Experience with monthly, quarterly, and annual reporting to investors a plus 

• Experience in real estate, power, or renewables industries a plus

Education and Experience Requirements: 

• At least five (5) years of experience as an attorney, with a focus on corporate governance and contract management in an in-house law department or law firm 

• Law degree from an accredited law school  

• Admission to the Montana bar
