Position Summary:
We are looking for a paralegal to join our collaborative and vibrant legal team to support multiple areas, including compliance, contracts, Board/SEC, litigation, IP and M&A/BD matters. This position will directly support the attorneys and work closely with other staff in finance, HR and the business. This position requires computer and technical knowledge as well as strong analytical, communication and organizational skills.
Position Responsibilities:
Assist with organizing and maintaining Board of Directors materials, meetings, and calendars, as well as communication with board members.
Assist with SEC filings, including Forms 3, 4, & 5, 10K/10Q and annual reports/proxy. Assist with organizing annual shareholders meeting.
Assist with M&A and other transactional documents, such as purchase agreements, supply agreements, development agreements, contracts and real estate leases; and closing documents.
Maintain contracts database and interact with business leaders to cache and organize e-documents and files; respond to input and retrieval requests.
Organize and maintain training platform for company policies and procedures.
Develop, maintain, and administer contract templates, including for NDAs, Consulting Agreements, MSAs, SOWs and other agreements.
Organize and manage patents and trademarks with attorneys and outside counsel.
Assist attorneys with litigation matter management, record keeping and routine discovery, including litigation holds and discovery requests.
Direct legal research and investigative tasks, including obtaining information or documents from outside parties, as directed.
Manage documents for signature, including cross-referencing copies and originals to confirm both are proper.
Prepare documents for photocopying/scanning.
Originate correspondence and memorandum, as required.
Maintain legal departmental databases and budget.
Requirements:
5+ years of previous legal work experience in a law firm or other corporate legal department.
High degree of integrity and strong work ethic.
Experience in in-house pharmaceutical industry a plus.
Ability to communicate clearly and work collaboratively with other functions.
Proficient in Microsoft Word, Excel, Powerpoint, contracts databases such as iContracts.
Degree from accredited 2 or 4 year college
