Summary/Objective

This role is accountable for offering business valuation and purchase price allocation information for acquired entities. The position requires interacting with senior management, accounting and finance team, operations, and former sellers to ensure a seamless transition during the acquisition process.

Essential Functions

  • Manages valuation engagements, overseeing planning, scheduling, and execution to deliver prompt, high-quality client service that meets or exceeds expectations and deadlines.
  • Collaborates with the legal, operations, and management teams to strategize and plan the integration process.
  • Prepares journal entries, business combination notes, and purchase price allocations for acquisitions.
  • Manages due diligence data rooms - gather, organize, review and vet information and documents.
  • Maintains and analyzes financial records, including asset purchase agreements, closing statements, property appraisals, income statements, non-compete and consulting contracts, IFRS 16 leases, inventory, FF&E, trust statements, AP and AR, etc.
  • Valuation techniques, including discounted cash flow analysis, are used to conduct in-depth financial and valuation analysis and modeling.
  • Collaborates with the External Business Valuations Team (BDO) in creating comprehensive valuation reports to support and document valuation conclusions for significant acquisitions.
  • Determines the fair value of the acquired companys assets and liabilities.
  • Ensure compliance with accounting standards and maintain accurate records.
  • The purchase price is distributed among assets (goodwill, tangible assets, and intangible assets) and liabilities according to their estimated fair values.
  • Manages the Due To/From Seller/Buyer account and ensure proper cutoff.
  • Collaborates closely with auditors, tax professionals, corporate development, and other stakeholders to resolve any financial or reporting concerns.
  • Communicates with senior management, staff, sellers and stakeholders and serve as a resource for these individuals.
  • Prepares accounting memos for unusual or non-routine type transactions relating to the purchase.
  • Records consolidation entries, intercompany transactions, and other accounting adjustments.
  • Provides assistance for special projects and supports internal team members with accounting, finance, auditing, and ad-hoc reporting whenever necessary.
  • Actively participates in continuous improvement of internal processes and procedures.
  • Other Duties as Assigned.

Required Education, Experience, Certifications, and Licensure

  • Bachelors degree in accounting or finance or equivalent combination of education
