MUST HIRE QUICKLY COVETED IN-HOUSE ROLE SENIOR CORPORATE COUNSEL Location: Atlanta HYBRID (M/F - REMOTE; TUES,WED,THURS-In Office) Required Qualifications: JD plus 10+ years of experience in law firm and in-house legal practice with a focus on CRE financing, such experience to include workout experience, balance sheet, warehouse, and securitized financings, leveraged loan facilities, and CMBS loans Additional desired experience will include familiarity with servicing CMBS loans, special servicing and servicing roles on conduit CMBS, collateralized loan obligation pools, asset management on specialty serviced assets Experience reviewing, drafting, and negotiating service and vendor agreements, as well as experience handling litigation matters Actively licensed and in good standing in Georgia or able to waive into Georgia Strong analytical, drafting, review, and organizational skills, and attention to detail Excellent communication (oral and written) and interpersonal skills Ability to work effectively as a team contributor on collaborative assignments Ability to work independently while understanding the necessity for communicating and coordinating work efforts with others Good working knowledge of Microsoft Office Suite, including Excel, Word, and PowerPoint Reports to: Chief Legal and Compliance Officer Job Summary: The Senior Corporate Counsel will support the legal needs of the organization and its partners. This role will handle various responsibilities, including drafting, reviewing, and negotiating contracts and other legal documents; representing the company and affiliates in financing and other transactions, including securitizations and corporate legal administration; and providing legal advice to departments on a range of corporate, transactional, litigation, and other issues. This position will be based in the Atlanta, Georgia office, subject to the company's hybrid work schedule. Responsibilities: Prepare, review, and negotiate contracts, documents, and agreements, including client and vendor agreements, transactional documents, and employment-related documents Represent the company in financing transactions, including leveraged loan facilities and securitizations Oversee certain internal legal functions Provide legal support and advice to management and other team members Participate in corporate legal administration Manage responses to subpoenas and oversee outside counsel on litigation matters Perform research to obtain knowledge necessary to handle assigned projects Maintain law license and increase level of expertise in practice areas Balance multiple projects and requests at any one time Company Overview: A leading specialized global commercial real estate loan services provider, founded in 1988 and headquartered in Atlanta, is seeking a Senior Corporate Counsel.
