Summary

The ideal candidate for this role would be a process and detail-oriented self-starter. You will be given the opportunity to create and build a process and structure around the Contracts function. In this role, you will maintain, organize, and track vendor and customer contracts. You will be tasked with reviewing contracts for legal terms, extracting key items from contracts, obtaining approvals when needed, and communicating to members of multiple teams to ensure all involved parties are well informed and tracking compliance. This position works under the leadership of the Director of Finance and in collaboration with other teammates across the company.

Essential Duties and Responsibilities
Maintain the “gold copy” of UFS contract templates including MSA and all related Schedules / Addendums / Amendments
Personalize templates with customer / prospect-specific information based on a formalized request from Sales and Relationship Management team members
Track the status of issued agreements all the way through execution and electronic filing in an appropriate shared drive location
Maintain and manage the “gold copy” of other legal agreements including Mutual Non-Disclosure Agreements, Remarketing Agreements, Customer Legal Notice Renewal Letters, and others
Collaborate with the executive steward for legal and/or business term reviews and updates of any standard legal agreement templates
Collaborate and support the review, planning, and implementation of electronic signature tools (e.g., DocuSign) as designed by the Product Team
Interface with outside legal counsel on contracts, agreements, amendments, etc. when necessary
Extract key terms from contracts and track and communicate these items to the proper departments/individuals
Ensure that the terms of contractual agreements are written in language that is legally binding and in accordance with the mutual desires of the client and UFS
Review contract terms and conditions to verify that they are in compliance with company policies and all applicable federal and state regulations
Develop and implement an effective procurement framework to align contractual commitments
Research and implement a contract management tool
Ensure we have alignment with agreements to build efficiency into the billing process
Steward the customer contract renewal process
Other duties as assigned to support the organization
Education and/or Experience
High school diploma or general education degree (GED) required
3 to 5 years’ experience in a similar role
Experience with and ability to understand legal language and contracts (legal/paralegal background not necessary)
Robust understanding of Microsoft desktop and productivity solutions
Experience with contract management tools a plus
