Job Description:

The Contracts Specialist is responsible for the initial legal review and ultimate negotiation of proposed agreements for the purchase of goods and/or services. This role requires close collaboration with the Business Unit, Strategic Sourcing, Procurement, Legal, and Control Groups to ensure agreements align with organizational standards and requirements.

Reporting Relationship: Reports to the Manager of Contracts.

Core Duties and Responsibilities:

  • Contract Review and Selection:
  • Partner with Strategic Sourcing and Procurement to select the appropriate contract template or standard clause(s) for proposed agreements.
  • Conduct redline reviews of proposed agreements of low to moderate complexity, including drafting non-standard commercial and legal terms.
  • Negotiation and Communication:
  • Participate in negotiations with suppliers regarding proposed agreements.
  • Ensure clear and prompt communication with Business Unit, Strategic Sourcing, Legal, and Control Groups as necessary.
  • Liaise with Third Party Risk (TPR), Control Groups, and Subject Matter Experts to gather necessary information and approvals.
  • Legal Compliance and Updates:
  • Stay current with relevant laws, regulations, and regulatory guidance to integrate appropriate terms into proposed agreements.
  • Provide updates to contract templates and standard clauses as needed.
  • Post-Contract Consultation:
  • Consult on post-contract issues, ensuring all contractual obligations are met and addressing any arising concerns.
  • Research and analyze existing third-party agreements to determine content and assess proper integration of prior documents into new documents.
  • Risk Management:
  • Align risk and control processes with daily responsibilities to monitor and mitigate risk.
  • Escalate issues appropriately to maintain compliance and control standards.
  • Additional Responsibilities:
  • Perform other duties as assigned by the Manager of Contracts.

Qualifications:

  • Experience with Non-Disclosure Agreements, Software Licenses, Master/Professional Services Agreements, and IT or SaaS related contracts preferred.
  • Strong understanding of contract law and commercial terms.
  • Excellent negotiation and communication skills.
  • Ability to work collaboratively across multiple departments and with various stakeholders.
  • Proficiency in legal research and analysis.
  • Strong organizational skills and attention to detail.
  • Ability to stay current with legal and regulatory changes and integrate them into contract management practices.
