The Commercial Contracts Administrator will partner with internal business clients to achieve desired project results while minimizing legal and operational risks for Portillo’s. The duties of this position include reviewing, drafting and negotiating various commercial contracts. Provide timely guidance and training to business partners on navigating commercial contracts and related processes and policies. Gather relevant facts from business partners to broaden or narrow the scope of project discussion based on information received or subject matter of inquiry. Draft standard legal documents (i.e., termination letters, legal letters, credit related documents). Prepare reports, summaries, and analyses of important contract metrics. Research factual and legal issues regarding contract terms and related issues and stay up-to-date on regulatory topics impacting commercial contracts, such as data privacy. Work with counsel to standardize contract templates and streamline the contract creation process, ensuring consistency, accuracy, and efficiency in contract drafting and negotiation. Energy: We move with urgency and passion, while maintaining attention to detail Assist in the development and implementation of internal policies and procedures related to contract management, collaborating with legal and compliance teams to ensure alignment with regulatory requirements and industry standards. Ensure compliance with and adherence to processes and procedures in all matters related to contract management, e.g., internal contract approval processes. Take ownership of maintaining and updating the contract management database or repository, ensuring that contract records are accurately documented, organized, and easily accessible for reference and reporting purposes. ORGANIZATION RELATIONSHIPS The Commercial Contracts Administrator provides support to the Associate General Counsel, Licensing and Governance Program Manager, and other Legal Department team members. The Commercial Contracts Administrator also interacts with business partners from Portillo’s Marketing, Finance and Accounting, IT, Operations, Risk Management, Real Estate, and People teams. QUALIFICATIONS Educational Level/Certifications Bachelor's (BA/BS) degree or equivalent work experience. Paralegal certification preferred. Work Experience, Qualifications, Knowledge, Skills, Abilities Minimum two (2) years related transactional experience with commercial contracts; prior in-house contracts experience strongly preferred. Extensive experience drafting and negotiating a variety of commercial agreements. Knowledge of commercial agreement structures and the function and purpose of key legal terms (e.g., indemnification, intellectual property, confidentiality, etc.). Communicate clearly and concisely when identifying legal issues verbally and in writing. Time management and problem-solving skills, and the ability to manage multiple projects simultaneously. Ability to maintain confidentiality and to exercise discretion and good judgment. Think critically and be inquisitive to identify legal issues and risks and propose creative solutions. Capable of working independently, or with limited supervision. Lead change by improving contract management processes. Experience with contract lifecycle management (CLM) software is a plus. Demonstrated ability to learn new software tools. Display strong organizational skills, critical thinking, excellent grammar, and attention to detail. Ability to build relationships and work with varying seniority levels. Proficient in Microsoft Office Suite and CLM software. Ability to adapt to an everchanging and fast-paced environment. Multi-state employer and multi-unit (e.g. retail, hospitality, restaurant) experience. Bring a fun, energetic, positive, can-do attitude to the work at hand.
