FCSAmerica is seeking a VP Corporate Governance who will coordinate leadership, development, recommend and implement the corporate governance processes, practices and framework for three separate and independent Farm Credit Associations (AgCountry Farm Credit, Farm Credit Services of America and Frontier Farm Credit). Essential Duties & Responsibilities Lead Governance Team focused on effectively implementing the corporate governance processes, practices and framework for three separate Associations. Ensure the corporate governance processes, practices and framework are properly designed, implemented, and maintained for each of the three Associations: Board and Board Committee structure, process, composition, and alignment Nominating Committee structure, process and composition Elections for Directors and Nominating Committee members Director Appointments Coordinate processes and procedures related to maintenance of key corporate documents and agreements for each of the three Associations: Articles and Charters Bylaws Governance Guidelines Board Committee Charters Board Policies Minutes and Resolutions Stockholder Lists Corporate Registrations and Licensing Coordinate preparation of meeting agendas, minutes and resolutions, including required stockholder disclosures concerning the following for each of the three Associations: Annual or Special Stockholder meetings Nominating Committee meetings Board meetings Board Committee meetings. Education Requirements Bachelor’s Degree preferred in Business Administration, Legal, Paralegal, Corporate Governance Years of Experience 6+ years of experience which may include prior leadership experience in Legal, Corporate Governance or Stockholder Relations About Us Farm Credit Services of America (FCSAmerica), AgCountry Farm Credit Services (AgCountry), and Frontier Farm Credit are financial cooperatives operating under joint management.
