Position Overview

J.D. Heiskell & Companies is in search of a dedicated legal professional with expertise in corporate and business law. The Corporate Counsel plays a crucial role within the in-house legal department, providing strategic legal guidance and representation for the organization. This role encompasses offering legal insights and support for business operations, particularly in areas such as real estate, commercial dealings, and corporate governance.

Key Responsibilities:

  • Deliver comprehensive legal advice to various levels of the organization.
  • Draft, review, and negotiate commercial agreements and contracts pertinent to the company's operations.
  • Identify and manage legal risks by developing and enforcing company policies and protocols.
  • Oversee corporate legal matters, including mergers, acquisitions, and other significant transactions.
  • Engage with both internal and external legal counsel as necessary.
  • Advise on compliance and risk management issues.
  • Provide insights on general corporate law matters.
  • Stay informed on new legislation and regulatory changes affecting the business.
  • Foster a workplace culture that emphasizes safety, accountability, and a proactive approach to challenges.
  • Perform additional responsibilities as required.

Qualifications:

  • J.D. from a law school accredited by the American Bar Association.
  • Active membership in the NE State Bar or another state bar in good standing.
  • A minimum of 2 years of relevant legal experience, preferably in a law firm setting; experience in agriculture is a plus.
  • Knowledge of financial transactions and mergers/acquisitions.
  • Ability to manage legal projects in a dynamic, fast-paced environment.
  • Exceptional writing and analytical capabilities.
  • Proven ability to represent the organization in various external matters.
  • Strong collaborative skills with internal operational teams.
  • Capacity to adapt to shifting priorities and maintain sound judgment under pressure.
  • Excellent verbal and written communication skills, with the ability to effectively engage with all organizational levels.

Physical Requirements:

  • Regularly requires sitting, using a computer, and communicating via phone.
  • Ability to navigate an office setting.
  • Occasional travel within the United States may be necessary.
