Partner-Level Attorney (Mergers & Acquisitions)

Position Overview:

Seeking a seasoned Partner-Level Attorney with a substantial portable book of business to join M&A practice. The ideal candidate will have a proven track record of leading complex M&A transactions and providing strategic counsel to clients. This role requires a strategic thinker capable of contributing to the growth of our practice and fostering long-term client relationships.

Key Responsibilities:

  • Lead and manage a diverse portfolio of M&A transactions, including mergers, asset sales, joint ventures, tender offers, and other combinations.
  • Develop and maintain strong client relationships, leveraging your existing book of business to drive revenue growth.
  • Draft, review, and negotiate complex M&A transaction documents, including stock and asset purchase agreements, merger agreements, joint-venture agreements, and operating agreements.
  • Advise clients on all aspects of the M&A lifecycle, including deal structuring, due diligence, regulatory compliance, and post-closing integration.
  • Coordinate with domestic and foreign regulatory authorities, as well as financing sources, to ensure successful transaction execution.
  • Provide strategic counsel to Boards of Directors and Special Committees on M&A-related matters.
  • Mentor and supervise junior attorneys, fostering a collaborative and high-performance work environment.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar membership in good standing.
  • Minimum of 10 years of experience in M&A, corporate law, or a related practice area.
  • A substantial portable book of business with a proven history of generating revenue.
  • Extensive experience leading complex M&A transactions in both domestic and cross-border contexts.
  • Strong negotiation, drafting, and communication skills.
  • Ability to work collaboratively with other partners and contribute to the overall growth of the firm.


Mid-Level Associate (Mergers & Acquisitions)

Position Overview:

Also seeking a highly motivated Mid-Level Associate with experience in M&A transactions to join this dynamic team. The ideal candidate will have a strong foundation in corporate law and M&A, with the ability to draft and negotiate transaction documents, manage due diligence, and coordinate with regulatory authorities.

Key Responsibilities:

  • Assist in the management of M&A transactions, including drafting and negotiating stock and asset purchase agreements, merger agreements, joint-venture agreements, and related documentation.
  • Conduct thorough due diligence on target companies, identifying potential risks and advising clients accordingly.
  • Collaborate with domestic and foreign regulatory authorities to ensure compliance with applicable laws and regulations.
  • Support senior attorneys in advising clients on deal structuring, financing, and post-closing integration.
  • Represent clients in both public and private transactions, ensuring efficient and effective coordination throughout the M&A lifecycle.
  • Work closely with clients, providing timely updates and strategic advice to ensure successful transaction outcomes.
