SUMMARY/JOB PURPOSE:

The Senior Corporate Counsel, Licensing takes a supporting role in setting the material terms of the many significant and complex business transactions undertaken by the company, the drafting and negotiation of definitive and ancillary agreements reflecting those terms, and the organization of processes necessary and helpful for Exelixis to transact efficiently and effectively.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  1. Drafts, reviews, and negotiates a wide range of contracts in support of the Business Development, Alliance Management, and Research and Development organizations.
  2. Supports optimization of internal processes by drafting and reviewing summaries of the critical legal, financial, and operational terms of the existing and future completed agreements.
  3. Acts as a legal point person for ongoing collaboration agreements, licensing agreements, and acquisition agreements.
  4. Supports legal diligence for licensing and acquisition activities.
  5. Reviews redlines, supervises negotiations, and provides general guidance to junior attorneys and contract managers.
  6. Assists with maintaining up to date form agreements consistent with industry standards and applicable laws.
  7. Identifies and defines operational and legal risks and communicates those risks to appropriate internal decision-makers.
  8. Cultivates strong cross-functional relationships and communication with internal colleagues.
  9. Effectively represents the company.
  10. Handles miscellaneous legal tasks on an as-needed basis.

SUPERVISORY RESPONSIBILITIES:

  1. Provides direction to other individuals.
  2. Supervises staff, including hiring, scheduling, and assigning work, reviewing performance, and recommending salary increases, promotions, transfers, demotions, or terminations.
  3. Manages others through subordinate supervisors.

EDUCATION/EXPERIENCE/KNOWLEDGE & SKILLS:

Education:

  1. BS/BA degree, preferably in life sciences or a related field. Advanced degree preferred.
  2. JD degree required and a minimum of six years of related experience.
  3. Equivalent combination of education and experience.
  4. Must be admitted to practice, preferably in California.

Experience:

  1. Experience as an attorney in a law firm or in-house legal environment in the biotechnology or pharmaceuticals industry.
  2. Complex contract drafting and negotiation experience required.
  3. Pharmaceutical licensing experience is required.

Knowledge/Skills:

  1. Possesses clear and concise verbal and written communication skills.
  2. Strong computer skills (e.g., Microsoft Office Suite, document management systems, and redlining software).
  3. Detail-oriented with strong organizational skills.
  4. Ability to handle multiple tasks simultaneously and re-prioritize on short time frames.
  5. Ability to make complex decisions based on available data.
  6. Acts responsibly and conscientiously.
  7. Works under pressure to meet specific deadlines.
  8. Works well both independently and in a team environment.
  9. Dedicated to quality, reliability, and highest professional standards.
  10. Must be a self-starter and quick learner.
  11. Must have good judgment.

WORKING CONDITIONS:

  1. Primarily working indoors, in an office environment.
