The General Counsel Manager will provide legal guidance to the CFO, oversee all general legal matters, and play a critical role in ensuring compliance with regulations, mitigating legal risks, and protecting the company's interests. This role requires an understanding of corporate law, contract law, employment contracts and regulatory compliance, as well as experience in risk management and dispute resolution.


PRIMARY FUNCTIONS & ESSENTIAL RESPONSIBILITIES

Legal Counsel:

  • Provide expert legal advice to the executive team on a wide range of legal issues, including contract law, intellectual property, employment law, regulatory compliance, mergers and acquisitions and corporate governance.
  • Identify and analyze legal risks associated with business decisions and provide recommendations to mitigate those risks.
  • Draft, review, and negotiate contracts, agreements, and other legal documents.
  • Oversee litigation and dispute resolution, including managing outside counsel relationships.


Compliance:

  • Ensure compliance with all applicable laws, regulations, and industry standards.
  • Develop and implement compliance programs and policies to mitigate legal risks.
  • Monitor changes in laws and regulations and advise the company on necessary actions to maintain compliance.


Corporate Governance:

  • Prepare and review board resolutions, meeting minutes, and other corporate documents.
  • Ensure compliance with corporate bylaws and other governance documents.


Risk Management:

  • Develop and implement risk management strategies to identify, assess, and mitigate legal risks. Review insurance policies and ensure adequate coverage for the company's risks.
  • Develop and maintain relationships with outside counsel.
  • Participate in internal employees’ training.


QUALIFICATIONS & EXPERIENCE:

  • Must be an active member of and in good standing with the State Bar of California.
  • Minimum of 2+ years of labor & employment + transactional experience. Preferred experience: prior in-house experience with a large law firm.
  • Legal experience with proven ability to provide practice advice and solutions that balance legal risk and business priorities.
  • Substantial experience and success in working with HR and management at all levels of the organization; and experience with counseling clients on L&E issues, litigation, and training.
  • Entertainment industry experience required; prior Talent agency experience preferred.
  • Graduate of an ABA-accredited law school.
  • Advanced computer and research skills, spreadsheet experience.
  • Superior advocacy skills, including the ability to communicate in writing and orally effectively and efficiently, an aptitude for practical negotiation, the capability to think clearly and quickly under pressure, and the composure to satisfy multiple and often competing interests.
  • A strong commitment to integrity and professionalism, with a passion for excellence.
  • Strong prioritization skills.
  • Record of dedicated and successful teamwork, excellent interpersonal abilities.


REQUIREMENTS:

  • Full time exempt position.
  • In-office position.
  • Based in Beverly Hills.


SALARY RANGE: $120,000 to $150,000 (DOE)
