A little bit about the role:

The Senior Contracts Manager will join ORBCOMM to lead sales contracts review and negotiations and will serve as the primary Legal Department interface with the sales organization. This position will work closely with the Director of Legal Operations to automate the contracting process and to ensure efficiencies are implemented throughout the contracting process. The successful candidate will be a team player and a business partner to the sales organization with a “can do” attitude. The candidate will be responsive in a fast-paced environment and will be a problem solver, as well as an ethics and compliance advocate. This position reports to the General Counsel and will support the greater Legal Department with all contracting matters as well as other corporate Legal Department initiatives. We are looking for a self-reliant individual, capable of creating and driving opportunities for change through action and influence with the ability to be a business partner while still protecting ORBCOMM’s best interests. The successful candidate will also possess the ability to create efficiencies in processes and procedures and will be expected to support the department and peers with other corporate legal matters and initiatives.

Roles and Responsibilities:

  • Negotiation skills: You must have the ability to negotiate with customers and vendors and internal stakeholders, to make reasonable changes to contracts and provide alternatives if needed, and a desire to learn and improve upon such skills.
  • Collaboration skills: You will work with many different types of individuals, both externally and internally and must be a team player, capable of leading and influencing within and outside of the Legal Department.
  • Attention to detail: You should have an eye for detail to review, summarize and revise and edit customer and vendor contracts and all associated documentation.
  • Communication skills: You must have strong communication skills to negotiate and collaborate with others to execute and make changes to contracts as needed, as well as to lead and influence throughout the company and externally.
  • Business knowledge: You must have a desire to understand how the business works, what standard clauses the organization typically uses and for what purposes, and risk management as it relates to both legal and business risks.
  • Love for process and improvement: You should have a love for process and improvement and must be tech savvy with respect to contracts tools and the contracting process. You must be consistently looking for ways to better automate processes and streamline methods throughout the Legal Department and the company overall to help improve operational efficiencies.

Desired Qualifications and Experience:

  • Have at least 5-7 years’ experience negotiating contracts and with using and implementing technology and tools designed to improve the efficiency of the contracting process.
  • Draft and negotiate sales and vendor contracts of all types, including amendments and addenda to master agreements, NDAs, partner agreements and SoWs.
  • Identify potential risks/gaps for the company pursuant to customer-requested changes to contracts and recommend risk mitigation options/responses, as well as highlight areas which require review by other departments.
  • Respond promptly, accurately and crisply with minimal supervision to business requests for advice and escalate appropriately where required.
  • Develop and maintain contracts templates, training materials on contracting and the contracts management system, company policies, standard operating procedures for contracting processes and track associated metrics.
  • Regularly train the sales organization on the use of contracts management tools and the sales contracting process.
  • Support the continuous improvement of ORBCOMM’s contracts negotiation process including identifying areas for improvement and take the lead to implement changes autonomously
  • Support ORBCOMM’s digital contracting implementation, rollout and workflow process development to help optimize internal contracting processes and boost productivity.
  • Work with the Director of Legal Operations to analyze data about the contract workflow to assess which parts of the workflow may be slowing down the execution process and consistently identify areas for improvement and opportunities for the use of new technology.
  • Analyze new and old contracts with stakeholders, business partners, suppliers, and customers to make sure the content is sound and executable from both a legal and business risk perspective and help develop action plans where change is required.
  • Identify other areas for improvements within the Legal Department and the use of automation.
