This is a hybrid position in St. Paul, MN. You must be located in the St. Paul, MN area. This position is NOT remote.

While no day will be completely the same, you will execute daily responsibilities in these various functions:
 

Bids & Contracts Administration:

  • Assist the legal team in developing contract preparation and review processes; 
  • Assist the legal team in reviewing, drafting, and answering questions related to bids and contracts;
  • Utilize templates to prepare initial drafts of contracts; 
  • Guide contracts through the review and execution process, including tracking and maintaining a calendar of due dates and interacting with legal team and other internal stakeholders to ensure timely progression through the contracting process;
  • Ensure contracts are signed and shared with appropriate internal stakeholders; 
  • Assist legal team in ensuring contracting governance processes are followed and documented, including maintaining shared drive of legal documents; 
  • Develop and maintain information management and filing processes; 

Corporate Governance:

  • Assist General Counsel and board on corporate governance matters, including, but not limited to resolutions, board minutes, officer and director appointments, etc.; 
  • Manage state foreign qualification and annual reporting function with third party vendor;

Insurance:

  • Assist legal team with tracking business insurance needs; 
  • Oversee COI requests and tracking;
  • Manage bid bonding requests, applications with bonding company, and tracking of requirements;

Compliance:

  • Perform research projects under the supervision and alongside the legal team; 
  • Assist legal team with audits and investigations;
  • Remains aware of external, industry, legal and regulatory developments to ensure practice and work product are of a sufficiently high standard; and
  • Performs other related duties as required.
 

Knowledge, Skills & Abilities

  • Excellent communication and interpersonal skills, with the ability to build rapport and collaborate effectively with diverse stakeholders.
  • Meticulous attention to detail and organizational skills.
  • Proficiency in legal research.
  • Proficiency in using Microsoft Suite and Google Suite products.
  • Strong understanding of contracts, corporate governance, insurance, and compliance.
  • Ability to design and implement effective processes and procedures.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Ability to function well in a high-paced and at times stressful environment.
  • Ability to work independently and in a facilitator role.

Education & Experience 

  • Two years of corporate paralegal experience is required. Six years of experience is preferred. 
  • Bachelor's degree or a related field or equivalent combination of education and experience preferred. 
  • Paralegal certificate preferred.

Physical Requirements

  • Prolonged periods of sitting or standing at a desk and working on a computer
