The Role

The Compliance and Contracts Attorney (General Counsel) will play a key role in finding solutions which balance legal and commercial interests. This individual will support all departments; main responsibilities will be related to US contracts, commercial operations, and healthcare compliance matters. This role is a great opportunity for a lawyer with a passion for the medical technology/ healthcare industry that has excellent problem-solving skills, and an ability to thrive in a dynamic environment.

  • Draft, review and negotiate contracts i.e., HCP agreements, customer agreements, distribution agreements, GPO contracts, non-disclosure agreements, letters of intent, supply agreements, vendor agreements, consulting agreements, etc.
  • Develop and maintain agreement templates in collaboration with relevant stakeholders from the business.
  • Act as first point of contact on various legal matters relating to contracts (including government contracts), corporate governance, compliance and various other areas as needed.
  • Support Sales teams in reviewing customer agreements, consignment agreements, Requests for Proposals (RFP) and other forms of contracts for products.
  • Monitor the contract process utilizing contract management platform to assure compliance with the organization's contractual guidelines
  • Contribute to team-level operations through virtual engagement toward continuous improvement initiatives and process support.
  • Become a trusted advisor and business partner across the company by assisting and advising the business and internal constituents on legal and compliance matters.
  • Act as compliance business partner responsible for implementing OsteoCentric’s corporate compliance program, including advising on policies and procedures, monitoring compliance, and conducting compliance training
  • Analyze and evaluate business proposals and programs to provide consistent and clear guidance related to the company’s compliance policies and applicable healthcare laws and regulations
  • Draft policies, procedures, and work instructions as necessary to implement the company’s compliance program
  • documenting, tracking, and implementing corrective actions related to violations of the Company’s Code of Conduct and Compliance related policies and procedures
  • ensure compliance of HCP spend reporting to CMS in compliance with the Open Payments Act
  • Manage outside counsel.
  • Provide support for additional projects and initiatives as assigned.

Qualifications and Education Requirements:

  • JD degree from an accredited law school and 3-5 years of experience with legal counseling either from a law firm or as in-house legal counsel
  • Active license to practice law in at least one state
  • Strong knowledge and understanding of healthcare laws and regulations, including the False Claims Act, Anti-Kickback Statute, FDCA, the Sunshine Act, and other relevant state lawsLife Sciences experience desired – Medical Device Industry experience a bonus
  • Excellent communication skills needed to interface with sales team, cross-functional teams, and external customers.
  • Ability to work effectively without losing sight of details and quality
  • Able to handle advanced legal issues in a pragmatic, solution-oriented manner
  • High integrity and strong interpersonal skills
  • Ability to work independently and manage multiple projects simultaneously, while consistently delivering professional and constructive solutions
  • Excellent negotiation and drafting skills with the ability to support sales organizations and guide diverse teams through complex, time-sensitive negotiations and projects.
  • Strong contract reading comprehension and interpretive skills with the ability to analyze legal terms and concepts in relation to business needs.
  • Strong work ethic and ability to multi-task, prioritize, and follow-through on numerous projects.
  • Willingness to assume responsibility and adaptability for the role, including problem-solving independently and while displaying a sense of urgency to the business.
  • Demonstrated ability to drive change in an organization through enhancement of existing processes and procedures.
  • This role will work in the North Austin Office
