We are seeking a skilled and detail-oriented Senior Corporate Paralegal with a strong background in trademarks, intellectual property (IP), and contracts to join our corporate legal team. The successful candidate will support our legal counsel by managing the Company’s trademark and patent portfolios, assisting with IP matters, and handling various contract-related tasks within a corporate setting. This role requires excellent organizational and communication skills, along with a thorough understanding of legal principles and procedures in these specialized areas.
Key Responsibilities:
Trademark and IP Management:
- Conduct trademark searches and assist in the preparation, filing, and prosecution of trademark applications.
- Monitor and maintain trademark portfolios, including tracking deadlines and managing renewals.
- Assist with IP enforcement actions, including preparing cease and desist letters and coordinating with external counsel.
- Conduct research on IP issues and provide summaries and reports to attorneys.
Contract Management:
- Draft, review, and revise a variety of contracts, including non-disclosure agreements, marketing and licensing agreements, service agreements, IT agreements and other corporate contracts.
- Assist in the negotiation of contract terms and conditions.
- Maintain a contracts database and ensure timely renewals and compliance with contractual obligations.
- Conduct contract-related research and provide support in resolving contract disputes.
Other Duties:
- Assist legal counsel in preparing and reviewing corporate documents, including incorporation documents, board resolutions, and shareholder agreements.
- Conduct legal research and gather relevant information and evidence.
- Maintain and organize corporate records and ensure compliance with corporate governance requirements.
- Communicate with internal departments, clients, and external parties to gather information and provide updates on legal matters.
- Process invoices as needed
- Associate’s or Bachelor’s degree in Paralegal Studies, Legal Studies, or a related field; Paralegal certification preferred.
- Minimum of 6 years of experience as a paralegal, with specific experience in trademarks, IP, and contracts within a corporate environment.
- Strong understanding of trademark and IP law, as well as contract law and corporate legal principles.
- Proficiency in legal research tools and software, as well as Microsoft Office Suite and Google Docs.
- Excellent organizational skills and attention to detail.
- Strong written and verbal communication skills.
- Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
- High level of professionalism and ability to handle confidential information.
Preferred Skills:
- Experience with IP management software and trademark search databases.
- Familiarity with e-filing systems for trademarks and patents.
- Previous experience in a corporate legal department specializing in trademarks, IP, and contracts
