Position Summary:

Provide legal advice to DCMA’s FICC Division, Operations, Credit and Finance teams with respect to transactional master agreement documentation. In addition, this role will also work on documentation related projects as well as providing general legal advice in the context to trading documentation.

Responsibilities:

Securities Transactional Counsel:

  • Draft, review and negotiate a wide range of capital market agreements in support of the Equities and the Fixed Income Divisions, including but not limited to repurchase agreements, securities and lending agreements, collateral agreements, custody agreements, , futures and options agreements, give-up agreements, MSFTAs and ISDA Master Agreements.
  • Manage a junior attorney and paralegal in the negotiation of DCMA’s frequently negotiation agreements which including but are not limited to NDAs, MRAs, GMRAs, MSLAs, MSFTAs and give-up agreements.
  • Primary subject matter expert on all transactional documentation (including MSFTA, ISDA, MSLA, GMSLA, MRA, GMRA, guarantees and other related documentation). In addition, provides advice to internal /external stakeholders on all matters pertaining to transactional documentation.
  • Advise on international and domestic laws & regulations issued by the SEC, CFTC, FINRA, EMIR, CIMA and various other regulatory entities) and their impact on investment instruments actively traded by the firm. Additionally, manage and complete adherence requirements for all the International Swaps and Derivatives Association protocols pertinent to the firm.
  • Drafted and review memos and compliance policies and procedures.
  • Assist in the enhancement and management of existing template documentation and the creation of new templates and negotiation guides with respect to form documents.
  • Participate in internal working groups, and various projects and initiative designed to organize and improve the efficiency of the firm’s management of documentation and workflows.
  • Manage and negotiate ISDA master agreements, IM and VM CSAs and related documentation, including master confirmation agreements and trade confirmations for DASAC.
  • Assist with corporate governance.

Qualifications:

  • Admission to New York bar.
  • Minimum of 7 years’ experience practicing law.
  • Top academic and professional credentials.
  • Experience with financial services clients, ideally institutional broker-dealers in cross-border context, with a willingness to learn new areas.
  • Demonstrated ability to handle matters independently.
  • Large law firm work experience or in-house experience preferred.
  • Practice experience with sales, trading, and distribution of equities; securities law and regulations under `33 and `34 Acts and FINRA and other exchanges; operational, custodial, settlement, and clearing matters; investment banking, research preferred.
  • Practice experience with tax and/or AML is a plus.

Microsoft Office skills required.
