Summary:

Are you someone who enjoys providing legal advice on a wide spectrum of topics including contracts, governance, compliance, antitrust, corporate transactions and general business matters?

We are looking for a Staff Attorney to provide legal advice and counsel to the trade association, its subsidiaries, and affiliates on a wide spectrum of topics including contracts, governance, compliance, antitrust, corporate transactions (e.g., investments and mergers and acquisitions), and general business matters. The Staff Attorney will also draft a high volume of contracts, educational materials, and other materials. Additionally, this role will also be involved with industry-specific professional standards (such as peer review of ethics complaints and arbitration matters) and MLS issues and will provide legal support and assistance to local associations.

Job Title: Corporate Staff Attorney
Reports To: Assistant General Counsel
Group: Corporate Legal
Compensation Range: $90,000 to $105,000 Annually
FLSA Status: Exempt

Responsibilities:

  • Negotiate, draft and review a variety of contracts.
  • Provide legal advice and counsel on a wide spectrum of topics including business strategy, governance, compliance, antitrust, corporate transactions such as investments and mergers and acquisitions, etc.
  • Advise on professional standards and MLS issues, and provide legal support and assistance to local associations regarding same.
  • Keeping abreast of legal developments affecting trade associations, antitrust, real property, and other topics relevant to this role.
  • Draft and review of legal articles, position papers and other legal materials.
  • Legal research and memoranda as needed.

Basic Qualifications:

  • J.D. from ABA-accredited law school
  • Member of California State Bar
  • 3+ years’ experience working in a law firm or comparable in-house experience, with an emphasis on transactional work (including contract drafting, negotiation, and review).

Preferred Qualifications:

  • Experience with corporate investments, mergers and acquisitions, and/or corporate governance.

  • Excellent legal reasoning, written and verbal communication skills, attention to detail, and judgment.
  • A collaborative, team-oriented attitude with superior interpersonal skills.
  • Ability to adapt to changing circumstances as needed.
  • Driven and proactive, with a desire to learn and grow.
  • Able to work independently and take ownership of projects.
  • Computer literate (Word, Excel, Outlook, PowerPoint, Westlaw, internet research and use).

Travel

  • Limited travel within California may be required.
