LEGAL AND ADMINISTRATIVE MANAGER

 

I. CORPORATE LEGAL PROFESSIONAL

o   Form new corporations

o   Prepare directors' and shareholders' meetings,

o   Prepare Written consents,

o   Prepare Powers of attorneys

o   Maintain stock certificates and share registers

o   Amend articles of association and articles of incorporation

o   Corporate Dissolutions

o   Provide “Know You Client” documentation for all affiliated companies, to attorneys and banks, among others

o   Maintain direct communication with attorneys locally as well as in Bermuda, British Virgin Islands, Colombia and Panama

o   Maintain and update all annual reports, annual meetings, Legal Entity Identifiers (LEI)

o   Drafting legal contracts, correspondence and other documents

o   Translate legal contracts, correspondence and other documents

o   Maintain Trademark registrations for two affiliated companies

o   Assist Attorney (USA) in Filing Schedule 13-G (and Amendments) with the Security and Exchange Commission

o   Act as Authorized Signatory on certain companies’ bank accounts

o   Work closely with Chief Financial Officer and Accounting Manager relating to the companies’ relationships with financial institutions

 

II. OFFICE AND HUMAN RESOURCE ADMINISTRATOR

 

                OFFICE ADMINISTRATOR

o   Maintain office licenses and permits in accordance with county and state laws

o   Assist in negotiation of building office lease

o   Direct communication with building property manager

o   Responsible for companies’ Workers Compensation Policy, Small Business Policies and SR Policy

o   Approve certain office expenses

o   Plan Annual Holidays and Office Closure Calendar

o   Plan Annual Office Events

o   Order office supplies

o   Maintain company-wide office calendar

 

HUMAN RESOURCES

o   Maintain all personnel files and all personnel related matters

o   Personnel supervision and trouble-shooting

o   Hiring and dismissal of office personnel

o   Assist in annual reviews and increases

o   Responsible for all employee benefits, including Maintain health, dental, disability, life and workers' compensation insurance policies.

o   Approve vacation requests and maintain vacation files
