A renowned international law firm, is seeking a talented and experienced Capital Markets Associate to join their prestigious team. Based in New York, this position offers an excellent opportunity to work on high-profile capital markets transactions within a dynamic and supportive environment.




Position Overview:

The Capital Markets Associate will be responsible for advising clients on a broad range of capital markets transactions, including public and private offerings of equity and debt securities. The successful candidate will work closely with partners and clients, providing strategic legal advice and ensuring compliance with relevant regulations.





Responsibilities:

  • Assist in the execution of public and private offerings of equity and debt securities.
  • Draft and review offering documents, including prospectuses, registration statements, and private placement memoranda.
  • Advise clients on securities law compliance, including the Securities Act, Securities Exchange Act, and related regulations.
  • Conduct legal due diligence and coordinate with other practice groups within the firm to provide comprehensive legal support.
  • Prepare and review transactional documents such as underwriting agreements, purchase agreements, and indentures.
  • Provide advice on corporate governance matters and assist clients in navigating disclosure requirements.
  • Collaborate with clients to develop and implement transaction strategies that align with their business objectives.
  • Stay updated on relevant legal developments and industry trends to provide informed advice to clients.
  • Participate in client meetings, negotiations, and closings.
  • Perform other related duties as required to support the capital markets team.





Qualifications:

  • Qualified solicitor with 3-5 years of post-qualification experience (PQE) in capital markets, preferably within a top-tier law firm.
  • Strong academic credentials, with a degree in law from a reputable institution.
  • Admission to the New York Bar.
  • Excellent analytical, research, and drafting skills.
  • Strong understanding of securities laws and regulations.
  • Proven ability to manage multiple projects and deadlines in a fast-paced environment.
  • Exceptional attention to detail and organisational skills.
  • Ability to work both independently and as part of a collaborative team.
  • Strong interpersonal and communication skills, with the ability to build and maintain client relationships.
  • Experience with both equity and debt offerings is preferred.
