Job Description:                               

We are seeking a highly motivated, organized and proactive teammate to support the legal and compliance operations of our firm. This position works closely with the VP of Operations and Head of Legal/Chief Compliance Officer. The ideal candidate is an expert multi-tasker who thrives in fast paced environments with frequently changing priorities. Successful candidates will have:


Experience:

  • 5+ years of legal experience in an in-house legal department, law firm, or both
  • Corporate law experience is a must
  • Experience with entity management and corporate legal filings
  • Exposure to financial regulations or other highly regulated industry
  • Strong organizational and project management skills
  • Exceptional ownership and follow through skills
  • Bachelor’s degree or equivalent experience
  • Cryptocurrency or startup exposure a plus


Responsibilities:

  • Assist with domestic and international entity formation process for new investment funds
  • Obtain legal identifiers such as FEIN, LEI and ISIN numbers
  • Assist with AML-KYC for institutional onboarding across dozens of cryptocurrency platforms and exchanges
  • Liaison with third party counsel and operational service providers to ensure projects completed accurately and timely
  • Review outside counsel legal and compliance billing and manage process from attorney review to finance approval
  • Coordinate document production for due diligence and audit requests
  • Analyze fund offering documents (PPM, M&A, etc.) for needed information and updates
  • Draft NDAs and manage to completion
  • Work with venture team to ensure compliance with venture legal review process
  • Submit regulatory filings such as annual reports and Form D filings
  • Draft routine documents for asset purchase, loans, and other agreements as needed
  • Assist with compliance AML related screenings (OFAC, CLEAR, TRM Labs)
  • Schedule board meetings and maintain minutes
  • Maintain tracking documents as needed
  • Participate in legal and compliance projects as assigned
