Project Finance Attorney

A leading AmLaw50 firm is seeking a highly qualified Project Finance Attorney to join its Project Development & Finance practice group in New York. The ideal candidate will have a minimum of 2 years’ experience, preferably including experience with project development and/or finance at a large national or international firm. This role is targeted for associates in their 3rd to 6th year.


Key Responsibilities:

  • Project Development and Finance: Advise clients on all aspects of project development and finance, including drafting, negotiating, and closing project and finance documents.
  • Client Representation: Represent developers, sponsors, lenders, investors, and other stakeholders in various project finance transactions.
  • Transaction Management: Oversee complex transactions from inception to closing, ensuring all aspects are managed efficiently and effectively.
  • Documentation: Prepare and review term sheets, loan agreements, security agreements, project contracts (EPC, O&M, PPA), intercreditor agreements, and other related documents.
  • Due Diligence: Conduct thorough due diligence, identifying potential risks and proposing mitigations to safeguard client interests.
  • Regulatory Compliance: Ensure compliance with relevant laws and regulations, including environmental and permitting requirements, to facilitate successful project execution.
  • Cross-functional Collaboration: Work closely with other practice groups within the firm, such as Corporate, Real Estate, and Environmental, to provide comprehensive legal solutions.
  • Client Development: Build and maintain strong client relationships, providing strategic advice and identifying opportunities for business development.


Qualifications:

  • Experience: Minimum of 2 years’ experience in project development and/or finance, ideally at a large national or international law firm.
  • Education: Juris Doctor (JD) from an accredited law school.
  • Bar Admission: Admitted to practice in New York.
  • Skills: Strong analytical, drafting, negotiation, and communication skills.
  • Attention to Detail: High level of attention to detail, with the ability to manage multiple tasks and deadlines.
  • Team Player: Ability to work collaboratively in a team-oriented environment, as well as independently.
  • Proactive Approach: Proactive in identifying issues and providing innovative solutions.
