  • Project Development and Finance: Provide legal counsel on all facets of project development and finance, including the drafting, negotiation, and finalization of project and finance agreements.
  • Client Representation: Advocate for developers, sponsors, lenders, investors, and other parties involved in various project finance dealings.
  • Transaction Management: Supervise intricate transactions from initiation to completion, ensuring all elements are handled efficiently and effectively.
  • Documentation: Draft and review term sheets, loan agreements, security agreements, project contracts (EPC, O&M, PPA), intercreditor agreements, and other pertinent documents.
  • Due Diligence: Execute comprehensive due diligence, identifying potential risks and suggesting mitigations to protect client interests.
  • Regulatory Compliance: Ensure adherence to applicable laws and regulations, including environmental and permitting standards, to facilitate successful project execution.
  • Cross-functional Collaboration: Collaborate closely with other practice areas within the firm, such as Corporate, Real Estate, and Environmental, to deliver holistic legal solutions.
  • Client Development: Cultivate and sustain robust client relationships, offering strategic counsel and identifying business development opportunities.

Qualifications:

  • Experience: At least 2 years' experience in project development and/or finance, preferably at a major national or international law firm.
  • Education: Juris Doctor (JD) from an accredited law school.
  • Bar Admission: Licensed to practice in New York.
  • Skills: Exceptional analytical, drafting, negotiation, and communication abilities.
  • Attention to Detail: Strong attention to detail, with the capacity to manage multiple tasks and deadlines.
  • Team Player: Ability to work collaboratively in a team-oriented environment, as well as independently.
  • Proactive Approach: Initiative in identifying issues and delivering innovative solutions.
