The Role:

The position of Corporate Counsel is a strategic role with Johns Lyng Group and will have responsibility for legal, regulatory, compliance, and contract administration functions for the company. This position will serve as hands-on legal counsel and manage outside legal resources as needed in collection matters, litigation, and in negotiating critical contracts. The position will provide a broad range of legal services and support across various departments within the company, providing legal advice, guidance, and solutions to general business matters. This role requires strong analytical and problem-solving skills, the ability to handle multiple tasks simultaneously, and excellent communication abilities

Qualifications:

  • Bachelors Degree and Juris Doctor (Required)
  • Must be admitted to the State Bar of Colorado, Texas, California or Florida.
  • At least 3-5 years of experience in a corporate legal department or law firm with experience in corporate compliance and contract drafting.
  • Knowledge of the building construction contract life cycle, types of contracts.
  • Strong knowledge of corporate law, contract law, and regulatory compliance.
  • Understanding of mechanic’s lien statutes and filing requirements.
  • Excellent writing skills and Strong negotiation skills..
  • Strong project management skills, with the ability to handle multiple projects simultaneously and meet deadlines.
  • Excellent analytical and problem-solving abilities to identify risks and develop effective mitigation strategies.
  • Outstanding communication and interpersonal skills, with the ability to collaborate with stakeholders at all levels of the organization.
  • Knowledge of risk management assessment, evaluation, and audit best practices.
  • Unwavering integrity and the ability to maintain a high level of confidentiality


KEY RESULT AREAS

• Direct the overall company contracting practice; draft, update, train on, and communicate related policies and procedures.

• Draft, review, and negotiate a wide range of contracts and other legal agreements, including but not limited to vendor and client contracts, proposals, leases, etc.

• Direct and administer the organization's risk management and insurance programs and related teams.

• Direct and develop efficient policies and processes that govern the contract administration and risk mitigation processes.

• Ensure all legal documents comply with applicable laws and company policies and are legally sufficient.

• Manage the corporate compliance of the company and its affiliates and businesses units; draft and maintain all corporate governance documents, minutes, resolutions, articles and agreements.

• Collaborate with various departments (ex., HR, finance, IT, sales, marketing, operations, etc.) to provide legal support in alignment with company objectives.

• Research and interpret existing laws and regulations and anticipated changes to laws to guide informed decisions, reduce risk, and be legally compliant.

• Coordinate the response to legal complaints, loss prevention matters, claims, lawsuits, subpoenas, and depositions, including reporting to and coordinating with our insurance broker, insurance providers, and related outside counsel.

• Promotes organization-wide understanding of risks and risk management strategies through training and other avenues.

• Manage business licenses, trade names, annual filings and other compliance items related to the ability to do business in states and municipalities in conjunction with the CFO.
