Responsibilities
The Manager of Independence will lead due diligence for merger onboarding, ensuring compliance with independence standards and addressing any potential issues. They will have a crucial role in updating Baker Tilly's restricted entity listings and digital business relationships, monitoring changes in publicly traded clients, reviewing independence inquiries, and supervising a dedicated staff, all contributing to our commitment to excellence and integrity.
Merger Due Diligence
- Perform and complete due diligence procedures for merger onboarding prior to the effective date of combinations, which will include,
- Obtaining the onboarding firms client list and running domestic and global checks to determine if there are any independence issues and evaluating and clearing any issues identified.
- Ensure there are no personal independence issues with onboarding partners.
Restricted Entity Maintenance
- Update Baker Tilly's restricted entity listing located on Baker Tilly Live, in the investment tracking system, on the Baker Tilly International database, and with Contractors as needed, which will include,
- Monitoring internal notifications received for new clients that are publicly traded and the investment tracking system for notifications regarding changes to existing clients that are publicly traded (i.e., ticker symbol, entity name, trading status) and updating the Parent Table
- Updating Baker Tilly's digital business relationships on the Alliance Channel/Partners tab
Business Relationships
- Review and analyze the responses to preset independence inquiries provided by the Baker Tilly Digital Team related to new business relationships.
IQ Exceptions
- Review and analyze responses to Baker Tilly's Independence Questionnaire for potential independence violations.
Staff Supervision
- Supervise Research and Data Specialist responsible for the following:
- Monitoring Baker Tilly International Database for conflicts
- Monitoring personal independence violations
- Distributing the restricted entity list to brokers and financial groups
Qualifications
Successful candidates will have:
- Bachelor's Degree in accounting or related field required.
- 5-7 years of relevant experience required.
- Understanding of systems, data and processes.
- Demonstrated problem solving, organization, interpersonal, project management and communication skills.
- A sense of urgency and a commitment to quality and timely completion of projects.
Additional Information
The compensation range for this role is $92,580 to $200,590. Actual compensation is influenced by a variety of factors including but not limited to skills, experience, qualifications, and geographic location.
