Adams & Martin Group is seeking a corporate transactional paralegal to join a law firm in downtown Minneapolis. This is a direct hire opportunity with a hybrid work model (following an onsite onboarding period).

Primary Responsibilities:

  • Manage workflows and deadlines independently and collaboratively for corporate transactions.
  • Draft and prepare formation documents (e.g., minutes, resolutions, agreements), ensuring compliance with regulations and filing them with relevant agencies.
  • Conduct legal research to support transactions (trademark, copyright, patents) and summarize corporate documents like contracts and leases.
  • Perform additional tasks as assigned; responsibilities may evolve.

Qualifications:

  • 5+ years heavy merger & acquisition and/or real estate experience
  • Bachelor's degree or paralegal certification with corporate transactional law firm experience preferred.
  • Expertise in LLCs and corporate statutes (Minnesota and beyond).
  • Familiarity with intellectual property laws and filing software.
  • Proficiency in Microsoft Office and Adobe Pro.
  • Strong communication, critical thinking, and attention to detail.
  • Ability to manage competing priorities while adhering to professional conduct standards.
