Summary: The Corporate Finance Paralegal provides essential support to Finance attorneys, undertaking various paralegal tasks vital to the department's operations.


Responsibilities: Essential Functions:


  • Drafting diverse documents/instruments such as UCC forms/attachments, corporate charters, and officer certificates.
  • Active involvement in finance closings, including creating/updating closing lists, distributing documents, and drafting closing certificates.
  • Maintaining control of closing documents and managing their organization.
  • Ordering/reviewing/changing lien searches and obtaining business entity documents from public offices.
  • Filing UCC and corporate/partnership organizational documents with state offices.
  • Assisting in due diligence projects and overseeing the post-closing process performed by the closing clerk.
  • Completing other assigned duties to fulfill Firm objectives.

Qualifications: Education/Training/Certifications:

  • Bachelor’s degree required.
  • Paralegal certificate from ABA approved program preferred.


Professional Experience:


  • Prior law firm experience preferred.
  • Minimum 3 years of related experience required.


Technical Skills:


  • Proficiency in Microsoft Office products required.
  • Familiarity with CTAdvantage.com, Inkspot, or similar systems preferred.
