Corporate Legal Counsel

JOB SUMMARY:

East Penn Manufacturing Inc. is seeking a highly motivated professional to provide legal support and counseling services to company management in connection with a variety of corporate legal matters, including litigation, commercial transactions, environmental, labor and employment, realt estate, and corporate governance. This is a great opportunity for an enthusiastic and business minded attorney to join a growing legal department within a well-established and reputable private business.

Under the guidance of the Vice President, Legal, the position is responsible for the provision of all legal services to company to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law.

Through a combination of providing the legal services directly and managing relationships with approximately 20 outside law firms, this position will be involved in a wide variety of corporate matters and is expected to demonstrate leadership qualities and actively participate in strategic discussions, providing legal expertise and insights.

This position's primary location is based in our corporate offices in Lyon Station, PA with periodic remote work available.

KEY RESPONSIBILITIES

• Serve as commercial counsel drafting and advising on a wide range of agreements, including, but not limited to vendor, technology, real estate, consulting, sales, and other commercial agreements.
• Manage product claims and oversee all aspects of litigation - assist in response to document requests and discovery responses, review and edit motions, briefs and memoranda from outside counsel; manage outside counsel throughout the pre-litigation and litigation process.
• Stay apprised of regulatory and other applicable federal, state and international legal developments relevant to our business.
• Assist with the management of external counsel in a cost-effective manner.
• Leverage our contract management system and assist in contract template development.
• Work closely with stakeholders across the Company to manage the Company's day-to-day legal and compliance needs.
• Contributes to the Company's high growth by working with the business to efficiently and proactively identify ways to mitigate risk.
• Develop expertise in new areas to support the business, creating appropriate policies and training.

PROFESSIONAL EXPERIENCE/QUALIFICATIONS

• 5-7 years' experience as in-house legal counsel and/or in private practice with a focus on the needs of a manufacturing client, contract review, commercial transactions, and real estate.
• Juris Doctorate (JD) degree from an accredited law school
• License to practice in Pennsylvania must be current, active, and in good standing.

• Demonstrated strategic approach to legal problem solving; ability to analyze problems and formulate alternative/creative solutions to problems
• Excellent contract drafting skills and familiarity with commercial agreements.
• Knowledge of and experience with litigation, insurance claims, and/or product claims is preferred, but not required.
• Ability to exercise sound judgment in accordance with defined corporate risk parameters.
• Can effectively cope with ambiguity, is unafraid to respectfully challenge the status quo by providing new ideas and solutions.
