STIIIZY, Inc. is seeking a mid-level corporate attorney to provide support on a wide range of day-to-day corporate transactional matters, including (i) mergers, acquisitions, joint ventures and other strategic corporate transactions; (ii) reviewing, drafting and negotiation of a broad range of commercial agreements (iii) general corporate governance, including Board support, drafting of consents and minutes, entity management and other related duties; (iv) equity administration, including capitalization table management; and (v) senior loan facility compliance. The Corporate Counsel position will report directly to the General Counsel and the Company’s President.


Key Responsibilities:

  • M&A/Strategic Transactions: Negotiate, draft, and manage due diligence process and closing matters for a wide array of strategic corporate transactions, including mergers, acquisitions, joint ventures, and financings
  • Commercial Agreements: Negotiate, draft, and see through execution a broad range of commercial agreements between the Company and its partners, employees, and third parties, including operating agreements, real estate leases, manufacturing and supply agreements, licensing and distribution agreements, and financing agreements
  • Corporate Governance: Provide day-to-day advice to Company stakeholders on corporate governance, corporate policies, and risk management; assist and support in Board-related matters, including drafting of written consents and minutes; support entity management; and other related duties.
  • Equity Administration: Assist and support in equity compensation matters, including cap table management (significant experience with Carta, preferred)
  • Senior Loan Facility Compliance: Assist and support compliance with the Company’s senior loan facility, including quarterly compliance and day-to-day compliance with loan facility covenants
  • Provide accurate, reasoned, and concise legal advice to business teams at all levels and across multiple businesses
  • Work cross-functionally with stakeholders across the Company, providing sound guidance and negotiating commercial deals as needed to meet critical business objectives
  • Handle a diverse range of duties and responsibilities effectively while exercising initiative and independent judgment in a fast-paced environment
  • Perform other duties as needed in support of business objectives assigned by the supervisor.

Qualifications:

  • Exceptional organizational skills, attention to detail, and a strong work ethic
  • Outstanding analytical and communication skills, both written and verbal
  • Self-starter with the flexibility and willingness to work on a wide array of legal matters, and the ability to effectively balance many projects simultaneously
  • Comfortable with and responsive to a fast-paced environment, with the ability to work both independently and cross-functionally
  • Ability to relate to a diverse client base and to clearly explain legal requirements and concerns in layman’s terms


Education & Experience:

  • J.D. from a top-tier law school
  • Active member of the State Bar of California
  • 3-6 years of experience as a corporate transactional lawyer in a law firm and/or in-house legal department (in-house experience with high growth company a plus)
  • Real estate experience a plus


Requirements:

  • Available for on-site operations work Monday-Friday.
  • Work revolves around objectives, projects, and priorities- not hours; must be able to work weekends and holidays as needed.
  • Prolonged periods of standing, sitting at a desk, and/or working on a computer.
  • Must be able to push, pull, move, and/or lift 10 lbs. to a minimum height of 5 feet and able to push, pull, move, and/or carry such weight a minimum distance of 50 feet, with or without mechanical assistance.
  • Must be able to access and navigate each department at the organization's facilities.
