The Paralegal is responsible for providing administrative support to the Legal Department. This position requires excellent communication skills, both verbal and written, with a wide range of internal and external parties. The Paralegal must be able to manage multiple tasks with competing priorities, handle sensitive and confidential material with the highest levels of discretion, and consistently demonstrate an elevated level of professionalism in a corporate environment.


The Paralegal reports directly to the Chief Legal Officer and regularly supports and interact with the company’s Executive Team. Primary responsibilities include administering confidentiality agreements and certain other contracts, managing the filing of all documents, and ensuring timely and accurate tracking of legal projects and contracts. Extended work hours may be required.


Essential Duties

Manage Contract, Sub-Contract preparation, review, revision, and processing of documents.

Maintenance of the filing systems, ensuring accurate organization and timely saving of files to appropriate folders in accordance with the established naming convention.

Proactively manage the SharePoint Tracker for contracts and litigation, entering new contracts, matters, and projects, updating statuses, and ensuring all relevant information is accurately captured and easily accessible to the legal team and other authorized personnel.

Maintain legal calendars including monitoring deadlines, actions to be taken, making task lists, scheduling conference rooms, organizing meetings, etc.

Prepare and / or review statements of work, nondisclosure agreements between business partners, banks, vendors, contractors, and other relevant parties.

Research trademarks and domain names for availability and general clearance searches, preparing search report results.

Coordinate information across departments, track all internal requests for legal services, and provide timely and accurate answers to questions from various departments, tailoring responses to support project goals and anticipating the needs of attorneys or other personnel to develop appropriate solutions.

Prepare template legal documents, contracts, and correspondence for review by attorneys.

Interact with the company’s management team regarding specific requests for support, reaching out to other departments by phone, email, Teams, or face-to-face to answer necessary questions and ensure effective collaboration.

Research and analyze law sources such as statues, regulations, recorded judicial decisions, legal articles, constitutions, and legal codes to assist in the preparation of legal documents.

Review, log, appeal, deduct, and process legal and related invoices for approval and payment, including tracking billing against estimates and billing guidelines.

Act as a liaison between clients, external vendors, and internal departments.

Always maintain confidentiality of all legal subjects and materials.

Assist with drafting of various legal correspondence and documents, ensuring a high level of detail orientation and reviewing existing and prior contracts to offer advice about potential conflicts with new agreements.

Scan and file documents that come into the legal department; maintain electronic case/project files on legal server.

Build key relationships with internal and external customers.

Facilitate and maintain corporate filings, corporate records and assist with drafting, reviewing, and obtaining signatures for variety of corporate documents and agreements, for the various corporate legal entities, captive insurance company and corporate foundation.

Assist with planning, scheduling, organizing and booking travel for corporate board meetings and related activities and dinners and other corporate events.

Complete and manage special projects as assigned, tracking projects from initiation and following up or reminding as necessary.

Assist the Legal Department with legal, legislative, and administrative matters and other duties as assigned.

Receive and respond to a variety of internal and external inquiriesin a timely and professional manner.

Assist with litigation and manage discovery matters, including overseeing e-discovery, managing correspondence with outside counsel, preparing regular updates for legal team, issuing/enforcing legal holds, researching, and responding to discovery requests.

Create guidelines and processes.

Review online articles for relevancy to the business.

Exposure to/or experience with manufacturing and private label industry is a plus.

Education Requirements:

Bachelor’s degree preferred.


Experience Requirements:

Five plus years of experience as in-house paralegal required.

Experience in litigation, including electronic discovery, and database tools helpful.


Competencies:

The successful candidate must have an acute attention to detail, be able to prepare and revise a wide variety of contracts and other documents.

Superior computer skills in Microsoft office suite (Word, Excel, PowerPoint, Teams) and Adobe Acrobat, and database management.

The candidate must have the ability to operate independently with various teams across the organization.

Ability to effectively manage sensitive and confidential information in a professional manner.

Excellent organizational skills and strong attention to detail.

Ability to multi-task and prioritize projects.

Ability to communicate effectively (verbally and in writing) with internal and external customers.

Ability and desire to work effectively in a high-volume environment.

Exposure to/or experience with a variety of legal documentation is strongly preferred.

Exposure to/or experience with manufacturing and the private label industry is a plus.

Paralegal Certification preferred.

This job operates in a professional office environment full time. This role routinely uses standard office equipment such as computers, phones, photocopiers, scanners, filing cabinets and fax machines.
