About You

As a key member of the senior leadership team, the Chief Corporate Counsel will provide high quality, sound, creative, responsive, and cost-effective legal counsel and representation to the Association and its affiliated entities (collectively Client) through the Corporate Counsel Office. The Corporate Counsel Office is an internal service for TASB program and service areas that is separate from TASB Legal Services, which provides legal counsel and programs to TASB members. For most program and service areas, Corporate Counsel is the only in-house attorney. However, in a couple of service areas (Risk Management Services and the Legal Assistant Fund), Corporate Counsel complements other TASB attorneys dedicated to those programs. 

The Corporate Counsel role will encompass a diverse array of legal, transactional, regulatory, compliance, and litigation support matters and will involve the management of legal resources to align with the association's priorities. The position requires extensive experience in the areas such as contracts, labor and employment law, and governmental law. 

A Typical Day 

Bring a collaborative and proactive approach to addressing the legal challenges associated with an innovative organization dedicated to public education.Keep Executive Director informed and updated on all legal developments that might impact the Association. Work with senior management in identifying and addressing legal issues within their service areas and programs. Provide legal support to Client boards and committees, including their staff liaisons, by reviewing meeting agendas, anticipating and fielding questions on legal and governance compliance issues, and reviewing minutes and other board materials and records for legal compliance and best practice. Draft and develop Client agreements, contracts, forms, and other transactional instruments for use in the delivery of services and programs to members, clients, and participants. If you’re still reading, we’d love to meet you

How You’ll Make an Impact

Serve as primary staff liaison to the TASB Bylaws Committee for administrative support and as counsel to the Board and other committees for legal support. Recommend, draft, and develop policies and administrative procedures to meet legal compliance and business needs. Develop and maintain contacts at regulatory agencies, public education associations, nonprofit associations service local governments, and with other influencers that impact Client business. Maintain corporate formation and governance records for TASB and its affiliated entities (Board Services and responsible service areas maintain their meeting and operational records). Plan and prepare the budget, including determining cost allocations for Client service areas. Serve as the official keeper of TASB administrative policies. Serve as the business owner of the electronic Contract Tracking System used for legal review, management approval, and safekeeping of contracts and records, consistent with Association policy. 

Supervisory Duties

Manage a staff team consisting of two additional lawyers and a program coordinator.Identify and manage outside counsel for niche areas (e.g., tax, intellectual property, and litigation). Manage recordkeeping duties assigned to Corporate Counsel. Ensure that staff participate in regular professional development and meet continuing education requirements for license and certifications required for their position. 

Skills For Success

Education and Experience: 

Graduation from an accredited law school. State Bar of Texas law license in good standing. Minimum of 10 years' experience in the practice of law. Minimum of 7 years' experience of corporate or general counsel experience. Prior C-suite, executive-level experience preferred.

Knowledge, Skills and Abilities: 

Ability to independently envision, lead, manage, and execute the corporate counsel function. Ability to advise and appear before boards and committees, to represent and communicate the interests of the Association and affiliated entities to third parties and their legal counsel. Must be knowledgeable of general business law, public/administrative law relating to state and local governments, and employment law. Ability to work with executive and senior level staff on a regular basis. Ability to maintain positive relationships, while not sacrificing client loyalty and professional objectivity and confidentiality. Ability to communicate clearly, precisely, and appropriately both orally and in writing. Ability to manage multiple, concurrent tasks.
