Job Summary:Please make sure you read the following details carefully before making any applications.Seeking a Corporate Paralegal to support a small, collaborative legal department. This role reports to the team's Corporate Secretary and will handle matters of corporate governance, compliance, SEC filings, subsidiary management, financings, M&A, and litigation support.Key Responsibilities:Prepare and distribute Board/Committee agendas, materials, and minutes.Manage subsidiary formations, qualifications, dissolutions, and filings.Maintain corporate and subsidiary records.Assist with NYSE and SEC filings (Forms 3, 4, 5, 8-K, 10-K, 10-Q, Proxy Statements).Coordinate annual meeting materials and voting results.Support Code of Conduct training and compliance tracking.Assist with regulatory filings (e.g., FERC, mining permits).Organize documentation and closing for financings and M&A.Manage virtual data rooms for due diligence.Administer legal holds, discovery, and litigation documentation.Track Legal Department budget and vendor onboarding.Requirements:Bachelor's degree Paralegal certificateActive public notary commission5+ years as a corporate or transactional paralegalCorporate governance experience (e.g., board/committee materials, electronic board portals), contract management, litigation support, and document retentionFamiliarity with financing and M&A transactions
