We are seeking an dedicated and detail oriented paralegal with commercial lending experience. The ideal candidate would possess a strong background in institutional and commercial lending, as well as commercial and residential real estate, including title insurance. This role requires excellent organizational skills and the ability to manage multiple projects simoultabeoulsy and efficiently. Must have demonstrated experience preparing commercial loan documents and managing checklists.

Core Legal & Technical Skills

  • Loan Document Preparation & Review: Skilled in drafting, reviewing, and organizing loan documents (commitment letters, promissory notes, security agreements, guarantees, etc.).
  • Due Diligence: Experience conducting and summarizing due diligence, including corporate, real estate, and UCC searches.
  • UCC Filings: Proficient in preparing, filing, and tracking UCC-1 financing statements and termination statements.
  • Title & Survey Review: Familiarity with reviewing title commitments, policies, and surveys for commercial transactions.
  • Entity Formation & Maintenance: Experience preparing entity formation documents and confirming good standing for corporations, LLCs, and partnerships.
  • Closing Coordination: Skilled in organizing pre-closing checklists, managing signature pages, coordinating closings, and preparing post-closing binders.
  • Document Management Systems: Strong familiarity with legal document management tools (e.g., iManage, NetDocuments, SharePoint).

Business & Financial Acumen

  • Understanding of Lending Structures: Knowledge of commercial loan types (secured, unsecured, term loans, revolving credit, syndications).
  • Financial Literacy: Ability to read and interpret loan term sheets, financial statements, and credit documents.

Organizational & Project Management Skills

  • Transaction Management: Ability to manage multiple transactions, deadlines, and priorities under pressure.
  • Detail-Oriented: Exceptional accuracy in reviewing complex legal and financial documents.
  • Closing Packages: Strong organization skills for assembling and indexing closing sets for lender and borrower copies.

Communication & Collaboration

  • Client Interaction: Professional communication with attorneys, clients, lenders, and title companies.
  • Negotiation Support: Assisting attorneys in communication and revisions between parties.
  • Team Coordination: Works well with legal teams, bankers, and external counsel.

Technical Proficiency

  • Microsoft Office Suite (especially Word, Excel, and Outlook)
  • E-signature and data room platforms (DocuSign, Intralinks, ShareFile)

Education & Experience

  • Education: Associate's or Bachelor's degree; Paralegal Certificate preferred.
  • Experience: 3–5+ years of experience in commercial lending, banking, or real estate finance law.
