Job Description

A confidential organization is seeking a Senior Corporate Paralegal to support its General Counsel and legal team with a focus on corporate governance, entity management, and corporate records. This is a hands-on, senior-level role suited for a highly organized professional who thrives in a fast-paced environment. The position is based in New York, NY.

Responsibilities

  • Manage and maintain a corporate entity management system, including coordination with third-party service providers on state filings, annual reports, and compliance matters.
  • Prepare and file corporate documents, including entity formations, dissolutions, and amendments.
  • Assist with basic tax-related filings, including obtaining EINs.
  • Maintain accurate corporate records, organizational charts, and governance documentation.
  • Draft and update operating agreements, resolutions, minutes, amendments, and officer certificates.
  • Support corporate and transactional matters, including closings, certificates of good standing, authorizing resolutions, and document execution.
  • Partner with internal teams to track and document compliance with statutory housing and other legal requirements.

Qualifications

  • 10+ years of corporate paralegal experience in a law firm or in-house legal department.
  • Experience managing large, complex entity structures.
  • Strong understanding of corporate governance and organizational documents.
  • Ability to manage multiple priorities independently in a deadline-driven environment.
  • Excellent written and verbal communication skills.
  • High level of professionalism, discretion, and attention to detail.
  • Bachelor's degree required; Registered Paralegal (RP) certification preferred.
  • Real estate–related experience is a plus but not required.
