Corporate Transactional Paralegal  

 

Our client is a leading law firm located in the metro Denver area. They are currently looking for a Corporate Transactional Paralegal for their busy, growing department. The successful candidate must have at least 3+ years of legal experience as a corporate or transactional paralegal and be able to anticipate problems and issues and exercise independent judgment to make sound, justifiable decisions and take action in solving problems while knowing when and to whom to escalate issues. · Work under tight deadlines, handle multiple, detailed tasks simultaneously, prioritize appropriately and delegate to resources available 

 

· Handle confidential information with discretion 

 

· Support all aspects of client transactions, including due diligence, document preparation, closing mechanics and post-closing integration and administration 

 

Desired Experience: 

 

· Familiarity with Form ID and D with SEC 

 

· Experience with making document checklists for M& A, VC and Corporate Matters 

 

· Experience with background checks and UCC/Litigation searches 

 

· Ability to manage, sort, and identify pertinent data from large pools of data 

 

· Experience with Outlook, TABS, Practice Master, NetDocuments, Data Rooms, Xcel, Power Point 

 

· Familiarity with multiple personality types and ability to mold your approach to match each attorney’s or client’s needs (Exceptional interpersonal skills, a commitment to professionalism, integrity) 

 

· Experience with the formation, qualification and dissolution of corporate entities, preparation of minutes and resolutions, and maintaining records of parent and subsidiary corporations 

 

· Ability to utilize and implement project management software to streamline projects 

 

· Interest in standardization of procedures with the goal of increasing efficiency of those procedures 

 

· Enjoys working in a collaborative environment and takes criticism with ease 

 

· Highly motivated and enjoys a fast-paced environment 

 

· Prepare documents that are necessary to comply with federal, state and local requirements in the conduct of business activities related to all stages of corporate transactions 

 

· Trademark experience preferred
