Job DescriptionJob Description

We are seeking a Remote Corporate and Securities Attorney to support our law firm client. As part of the legal industry, you will handle multiple assignments and work collaboratively within the Corporate and M& A team. This role offers a long-term contract employment opportunity.


Key responsibilities:


• Engage in the practice of corporate and securities law with a focus on maintaining strong legal writing skills

• Work on multiple assignments simultaneously, demonstrating strong organizational and multitasking abilities

• Foster and build relationships within the Corporate and Mergers and Acquisitions (M& A) team

• Implementation of equity incentive plans including stock options and restricted stock

• Drafting board and stockholder resolutions for various corporate actions

• Drafting NDAs, MSAs, Terms of Use, employment agreements, shareholder agreements, buy-sell agreements and other general corporate agreements

• Basic familiarity with recurring tax, employment and intellectual property issues

• Handle customer inquiries and resolve them efficiently

• Monitor customer accounts and take appropriate action based on the situation

• Negotiate effectively, maintaining excellent communication skills

• Process customer credit applications accurately and efficiently

• Maintain accurate customer credit records.

• Applicant must possess a Juris Doctor degree from an accredited law school

• Must be admitted to practice law in the U.S.

• 7+ years of proven experience in corporate and securities law practice

• Familiarity with securities law and Mergers & Acquisitions (M& A) is essential

• Strong negotiation and communication skills are required

• Ability to manage multiple projects and deadlines simultaneously

• Strong legal research and writing skills

• Demonstrated ability to work independently and as part of a team

• High level of professional ethics and integrity
