Job Description

Messerli Kramer is a leading full-service law firm in Minneapolis, offering comprehensive legal advice to clients across various practice groups. Our firm represents clients in Banking and Finance, Business Litigation, Corporate and Estate Planning, Commercial Real Estate, and Family Law.

We are seeking a seasoned corporate and securities attorney with 5-10 years of experience to expand our corporate practice. The ideal candidate will possess expertise in corporate, transactional, and securities law matters, with excellent communication and writing skills, attention to detail, and the ability to build strong relationships with clients.

Key Responsibilities:

  • Formation and operation of corporations and limited liability companies in Minnesota and other states
  • Counseling new companies on entity choice and corporate governance
  • Mergers, acquisitions, and dispositions, including private placements and securities law compliance
  • Implementation of equity incentive plans, including stock options and restricted stock
  • Drafting board and stockholder resolutions for corporate actions
  • Counseling directors and executive officers of corporate entities
  • Structuring equity allocations for startup companies
  • Seed and venture capital financing transactions
  • Drafting NDAs, MSAs, Terms of Use, employment agreements, shareholder agreements, buy-sell agreements, and other corporate agreements
  • Familiarity with recurring tax, employment, and intellectual property issues

Requirements:

  • 5-10 years of experience in corporate and securities law

  • Strong legal writing skills, analytical ability, and relationship-building skills
  • Excellent negotiation and communication skills
  • Licensed to practice law in Minnesota
