This team offers comprehensive support in areas such as executive compensation, business continuity planning, formation of entities, corporate structuring, mergers and acquisitions, financing through debt and equity, among others. They provide strategic advice to ensure clients' transactional and financial objectives are met, including assistance with dispute resolution when required.

Job Details:

We are currently seeking a dynamic and driven Corporate Associate Attorney to play a pivotal role in our corporate law practice. This position is perfect for someone with a strong background in corporate law, specifically with substantial experience in mergers and acquisitions (M&A) related to private companies. The ideal candidate will have the Virginia bar, with 2-5 years of experience in the field.

Key Responsibilities:

  • Provide legal counsel and support on a broad range of corporate matters with a focus on M&A activities for private companies.
  • Managing and overseeing the execution of all aspects of M&A, including due diligence, negotiation, and closing of deals.
  • Developing and maintaining strong relationships with clients and providing them with exceptional general corporate representation.
  • Draft, review, and negotiate various corporate documents and transactions.
  • Engage in a client-facing role, offering advice and solutions directly to our diverse client base.
  • Enjoy the autonomy and independence to develop a niche within corporate law, tailoring your practice to areas you are passionate about.

Qualifications:

  • Prefer candidates licensed in Virginia but can consider MD and DC with eligibility to waive into VA at some point following hire.
  • 2-5 years of experience in corporate law, ideally with significant exposure to M&A for private companies. Candidates with up to 7/8 years of experience will be considered.
  • Strong document drafting and negotiation skills.
  • A self-starter who is comfortable working independently but will benefit from our supportive and collaborative environment.
