Job Title: Senior Corporate Paralegal

We are seeking an experienced Senior Corporate Paralegal to join our team at Liberty Personnel Services, Inc. in Detroit, MI.

Job Summary:

The ideal candidate will provide comprehensive legal support focusing on corporate matters, including factual and legal research, drafting and editing correspondence and legal documents, and managing corporate governance activities.

Key Responsibilities:

  • Conduct extensive transactional work, including reviewing, drafting, organizing, and summarizing agreements and legal documents as required by attorneys.
  • Perform UCC searches, document reviews, public records searches, and electronic filings with relevant agencies.
  • Assist in the preparation and filing of securities filings, including Form D and Blue Sky filings.
  • Support mergers and acquisition transactions, corporate contract administration, and maintenance of corporate minute books.
  • Prepare and file formation/incorporation documents, foreign qualifications, and IRS filings, while maintaining corporate records and drafting corporate minutes.
  • Ensure organization of files, documents, and closing books, and interact with clients, governmental agencies, and other law firms to gather necessary information.
  • Maintain a strong work ethic and professionalism while handling a high volume of work with minimal supervision.

Qualifications:

  • Associate's and/or Bachelor's degree preferred; at least 8 years of corporate paralegal experience required.
  • Experience in a legal or corporate environment is a plus, but not mandatory.
  • Proficient in MS Office with a commitment to ongoing technological growth.
  • Ability to multitask and prioritize in a fast-paced, deadline-driven environment.
  • Strong communication skills to obtain and share information clearly and timely.
  • Attention to detail, personal accountability, and a disciplined approach to completing assignments.
  • Ability to handle confidential information with discretion and produce high-quality work.
  • Professional demeanor with confidence, integrity, and composure in all interactions.
  • A collaborative spirit to work towards shared goals and objectives.
