Tax and Transactional Associate Attorney

Singerman, Mills, Desberg & Kauntz Co., L.P.A. is a dynamic law firm focused on business law, litigation, secured lending, real estate, tax, and estate planning and administration.

We are seeking a detail-oriented and dedicated tax attorney with at least 3 years of experience to join our legal team.

The ideal candidate will provide comprehensive tax planning, compliance, and advisory services to our clients, particularly in the realms of real estate and business transactions.

Responsibilities:

  • Provide expert tax advice and strategic planning for real estate transactions, including acquisitions, dispositions, financing, and development projects.
  • Develop complex partnership agreements and LLC operating agreements.
  • Advise clients on tax implications related to business transactions, mergers, and acquisitions.
  • Conduct thorough research and analysis of complex tax issues and stay updated on tax legislation.
  • Prepare and review tax-related documents, agreements, and filings to ensure compliance with federal, state, and local tax laws.
  • Collaborate with other attorneys, accountants, and financial advisors to develop comprehensive solutions for clients.
  • Assist in structuring investments, corporations, joint ventures, LLCs, and partnerships from a tax perspective.
  • Provide support in tax due diligence and risk assessment for real estate and corporate transactions.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school
  • Licensed to practice law in the State of Ohio and in good standing
  • Minimum of three years of experience as a tax attorney, with a strong focus on real estate and business transactions
  • Proven track record of providing strategic tax advice in complex transactions
  • Excellent analytical, research, and problem-solving skills
  • Proficient in Microsoft Word and Excel
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment
  • Exceptional organizational skills
