Position Overview:

Illinois Tool Works Inc. is in search of a detail-oriented and proactive Corporate Legal Specialist with expertise in corporate and general legal matters. This role will focus on subsidiary governance and various related initiatives.

Primary Responsibilities:


The Corporate Legal Specialist will provide essential paralegal assistance primarily to ITW's corporate divisions, operational units, and the Chief Governance Counsel & Assistant Secretary. Under the guidance of the Corporate Paralegal Supervisor, the responsibilities will include:

1. Organizing and maintaining corporate minute books, records, and files, as well as overseeing the Company's subsidiary management database.

2. Assisting in the drafting and submission of corporate formations, qualifications, amendments, withdrawals, mergers, and dissolutions.

3. Monitoring changes in the board of directors for both U.S. and International subsidiaries and aiding in the preparation and filing of necessary updates with commercial registers.

4. Responding to KYC and UBO inquiries from internal and external stakeholders, providing the required supporting documentation.

5. Drafting certifications, affidavits, incumbencies, and powers of attorney, and facilitating legalizations and apostilles.

6. Supporting internal subsidiary restructurings, including reviewing and ensuring the proper execution of related agreements, resolutions, and certifications for both U.S. and International subsidiaries.

7. Assisting with mergers, acquisitions, and divestitures, including conducting due diligence on entities' corporate histories and ensuring timely and accurate execution of deal documents.

8. Contributing to the annual entity health check process, which includes updating the entity management database.

9. Delivering precise and comprehensive results within established timelines.
